Française des Jeux Restructures Kindred’s Board Following Major Takeover

Following the approval of Française des Jeux (FDJ’s) €2.45bn acquisition of Kindred on October 4, a number of changes have been made to the Kindred board.

Chairmen and Five Directors Resign

Chairman Evert Carlsson and five other directors have resigned. The departing members include James H. Gemmel, Cédric Boireau, Andrew McCue, Jonas Jansson, and Kenneth Shea. This caused FDJ to appoint three new executives to the board on October 14.

In addition, directors Heidi Skogster and Martin Randel have also stepped down but will continue to serve on the board until their terms officially expire at Kindred’s next annual general meeting in 2025, according to a statement from the company.

Carlsson, who took over as chairman in 2021, is also the chairman of the regional Swedish bank Dalslands Sparbank and serves on the board of PEG Capital Partners. Randel and Skogster, both independent non-executive directors, joined Kindred’s board in 2023 and 2021, respectively.

FDJ Appointees Bring a Wealth of Experience

The new board members appointed by FDJ are Pascal Chaffard, Edeline Minaire, and Célia Vérot, who bring a wealth of experience from their time at FDJ. They join Skogster and Randel, who remain until their terms end. Chaffard, who will now serve as chairman, has been with FDJ since 1994 and is currently the EVP of finance, performance, and strategy. His previous roles at FDJ include head of strategy and transformation, as well as product marketing director.

Minaire has been the finance director at FDJ for the past five years and began her career with Ernst & Young, focusing on auditing and IFRS consulting. Vérot, who became FDJ’s chief regulation officer in May 2024, has a background in the civil service, where she held roles including deputy secretary general and advisor to the French Prime Minister’s office.

FDJ’s acquisition of Kindred was approved by 90% of Kindred’s shareholders, following a unanimous recommendation from the company to accept the offer. Kindred’s B2C business and its games studio, Relax Gaming, will now be integrated with FDJ’s online sports betting, poker, and ZEturf operations to form a combined group.
