EveryMatrix has launched a public bid to purchase all outstanding shares in Fantasma Games AB, a Swedish developer specializing in online casino games, and offered SEK59 ($5.79) per share in cash.

Offer Represents 21.4% Premium on Stock Price

The offered price represents a 21.4% increase over the closing price of SEK48.60 on 17 September 2024, the last trading day prior to the announcement. Additionally, the bid includes a 27.7% premium on the 30-day volume-weighted average and a 33.4% premium compared to the 90-day average price.

A special committee formed by independent members of Fantasma’s board, including Antonia Svensson, Johan Styren, and Johan Köningslehner, has advised shareholders to accept the offer. Their recommendation is backed by a financial fairness assessment conducted by Svalner Skatt & Transaktion KB, which confirmed the offer’s financial viability.

Key Shareholders Accept Offer

Key shareholders holding 50.79% of Fantasma's shares, such as Fredrik Johansson and KL Capital AB, have committed to accepting the offer, subject to certain conditions. For the deal to move forward, EveryMatrix must acquire more than 90% of the shares.

The acceptance window for shareholders will run from 19 September until 10 October 2024, although EveryMatrix retains the option to extend this deadline. Completion of the acquisition will also depend on regulatory approvals and other standard conditions.

EveryMatrix has a history of enhancing its content portfolio through strategic partnerships, such as its recent collaboration with game studio Peter & Sons, which increased the number of games available on its CasinoEngine iGaming platform.
